Your new company
This ASX listed organisation is an established and dynamic investment and funds management business based in the Sydney CBD. It has experienced significant growth over the last few years and currently has $2.5 billion of assets under management, with a plan to continue its rapid growth over the years to come.

Your new role
This newly created role will see you providing a broad range of company secretarial support to the organisation and plays an important function in ensuring the effectiveness of the day-to-day operations of the Corporate Secretariat team by assisting with corporate structuring, capital raising, transactional support and other general company secretarial support to the group.

Duties will include:

  • organisation of the annual AGM and EGMs;
  • managing lodgements of notices and regulatory reporting requirements with regulators such as the ASX and ASIC, including financial statements;
  • maintaining entity and statutory records and registers;
  • managing the preparation of annual corporate reporting including Notice of Meeting, Annual Reports, Corporate Governance Statements and Board and Committee Charter reviews;
  • attending and minuting Board and Committee meetings as required;
  • assisting with capital raising initiatives including review of offer documentation, working with external counsel as required on all aspects of the capital raise process, and attending relevant Board meetings and drafting appropriate resolutions;
  • assisting in the establishment of new entities (funds and companies), including drafting corporate documents and amendments to Constitutions and Trust Deeds;
  • providing general corporate governance advisory support and assisting in the development and implementation of improved systems and processes.

What you'll need to succeed
You will be an experienced corporate governance and company secretarial professional with previous experience gained at another ASX listed organisation. Ideally you will also have experience with governance aspects of capital raising transactions, as well as additional experience or qualifications in law. In addition to excellent attention to detail and organisational skills, you must have flexibility and resilience to manage rapidly changing priorities and demands, and have a collaborative and proactive approach.
